Analog TV is a patchwork of tweaks and adjustments over the years to add things like color and stereo sound, and just reached the limit of it's ability to keep up.  Digital TV makes better use of spectrum (the groups of frequencies set aside for TV) , is expected to be easier to upgrade to newer technological advances, and probably the biggie...  frees up lots of valuable frequencies that the FCC can auction off to big phone and cable companies.
